1. Who these terms are with

M/s Graphic Arts, a sole proprietorship of Anand Mishra, at B. 29/18-A, Lanka, Sankat Mochan Road, Varanasi, Uttar Pradesh 221005, India. GSTIN 09ACZPM2518A1ZH. In these terms "we" and "us" mean Graphic Arts, and "you" means the person or organisation commissioning the work.

2. This website

The content of this site is for general information. Descriptions of materials, methods, lifespans and lead times are given in good faith from our own workshop experience, but they are general guidance and not a warranty for your specific project. Nothing on this site is an offer capable of acceptance — a contract is formed only when we issue a written quotation and you accept it.

We try to keep the site accurate and current, but we do not guarantee it is free of errors or continuously available.

3. Quotations

Quotations are given in writing and are based on the information available at the time — site, scale, material, finish, access and timeline.
A quotation is valid for the period stated on it. Where no period is stated, thirty days.
Prices are exclusive of GST unless the quotation says otherwise. GST is charged at the applicable rate.
Unless the quotation expressly includes them, the following are not in our scope: plinth and foundation, civil work, scaffolding beyond our own access equipment, electrical supply to the site, permissions, and site security.
If the site, scale, finish or scope changes after acceptance, the price and schedule change with it, and we will confirm the revision in writing before proceeding.

4. Designs and approvals

Commissioned work moves through approval stages — typically a concept drawing or visual, then a scale maquette or full-size clay original where a likeness or specific iconography is involved, then a finish sample.

We proceed to the next stage only on your written approval of the previous one.
Approval of the maquette or clay original is the decision point. Changes requested after full-size work, moulding or fabrication has begun are chargeable and will affect the delivery date, sometimes substantially.
Where a committee, trust or authority must approve, it is your responsibility to have all its members review the work at the approval stage rather than after completion.
Colour and finish are approved against a physical sample. Screens and photographs do not reproduce metallic and patinated finishes reliably, and we cannot accept a rejection based on a difference between a photograph and the piece.

5. The nature of handmade work

Sculpture, relief and mural work is made by hand. Minor variation in surface, texture and finish is inherent to it and is not a defect. Where a run of repeat elements is cast from one mould, small differences between castings are normal. Natural and reclaimed materials vary in colour and texture by their nature.

6. Payment

Payment terms — advance and stage payments — are set out in the quotation or work order for each project.
Material procurement and fabrication begin after the advance is received.
Title in the work passes to you only on payment in full. Risk passes on delivery or installation.
We may suspend work on an overdue account, and any delivery date is extended by the period of suspension.

7. Timelines

We give a realistic schedule at quotation and we plan installation around it. Two things are worth understanding before agreeing a date:

Moulding, casting and curing run on fixed chemical timescales. They cannot be compressed by paying more or adding people.
Approval cycles usually consume more of the calendar than fabrication does. If your date is fixed by an inauguration or an event, tell us at the outset so we can work backwards from it.

Delays caused by late approvals, late payment, site access being unavailable, or changes you request extend the delivery date accordingly.

8. Site work and installation

Where we install, you are responsible for:

Clear, safe and lawful access to the site for our team, materials and equipment for the agreed working period.
All permissions, approvals and no-objection certificates required for the work and its installation, including from building owners, societies and authorities.
Confirming that the wall, ceiling, ground or structure is sound and can carry the work. Where you are unsure, say so before fabrication starts.
Power and water at the site where the work requires it.

Standing time caused by the site not being ready on the agreed date is chargeable.

9. Warranty

We warrant that work is free from defects in materials and workmanship for the period stated in the quotation, from the date of installation. The warranty covers structural failure and finish failure that is our fault.

It does not cover:

Vandalism, accidental damage, theft, or damage from an accident on the site.
Normal weathering, patination and gradual fading of exterior finishes.
Damage from failure to maintain the work — see our maintenance guide, which sets out what outdoor work actually needs.
Damage caused by movement, relocation, alteration or repainting by anyone other than us.
Failure of a substrate or structure that we did not build — for example a wall with a damp problem carrying a mural.
Acts of God, flood, fire, riot and similar events beyond reasonable control.

10. Designs and intellectual property

Concepts, drawings, maquettes and design work we produce remain our intellectual property until the project is paid for in full.
On full payment you own the physical work and may use images of it freely.
We retain the right to photograph work we produce and to show it in our portfolio, on this website and in tender submissions. If you would prefer a piece not to appear publicly, tell us — we will respect it, and you do not need to give a reason.
We do not transfer the right to reproduce our design as a further edition or to have it copied by another fabricator, unless the contract expressly says so.
Where you supply artwork, photographs, logos or text, you confirm you have the right to use them and that we may reproduce them for your job. You indemnify us against third-party claims arising from material you supplied.

11. Printing work

Proofs are provided for your approval. Once you approve a proof, responsibility for errors in the approved content — spelling, names, dates, numbers — passes to you.
Printed colour varies with paper stock and process. Screens are backlit and paper is not; a difference between your monitor and the printed result is not a defect. Where exact colour matters, ask for a printed proof on the actual stock.
Ordinary trade tolerance applies to quantity on bulk runs.
We cannot reprint free of charge for errors present in artwork you supplied print-ready.

12. Cancellation

If you cancel after work has begun, you remain liable for materials procured, work completed and costs committed up to the date of cancellation. Because commissioned sculpture is made specifically for one client and site, a piece part-made to your brief generally has no resale value, and this is reflected in what is recoverable.

13. Liability

Our liability in connection with a project is limited to the value of that project. We are not liable for indirect or consequential loss, including loss of profit, loss of business, or costs arising from an event date being missed. Nothing in these terms limits liability for death or personal injury caused by our negligence, or for fraud, or for anything else that cannot be limited under Indian law.

14. Events beyond control

Neither party is liable for failure or delay caused by events beyond reasonable control, including natural disaster, flood, fire, epidemic, civil unrest, strike, government action, or failure of utilities or transport infrastructure.

15. Governing law and jurisdiction

These terms are governed by the laws of India. The courts at Varanasi, Uttar Pradesh have exclusive jurisdiction over any dispute, subject to any dispute-resolution procedure agreed in a specific contract or tender document.

16. Changes

We may update these terms. The version that applies to your project is the one in force when your quotation was accepted.
